
PhonePe, the Walmart-backed digital payments giant, has received regulatory approval from the Securities and Exchange Board of India (SEBI) to proceed with its initial public offering (IPO). The company plans to raise around ₹12,000 crore through an Offer For Sale (OFS), which could make it one of the largest fintech IPOs in India this year.
In an OFS, existing shareholders like Walmart, Microsoft, and Tiger Global are expected to sell part of their stakes, and no fresh capital will be raised directly by PhonePe. The company filed its IPO draft with SEBI confidentially last year and is now expected to file an updated prospectus soon as it targets a listing by April 2026.
PhonePe has emerged as a leader in India’s digital payments ecosystem, commanding over 45% market share in UPI transactions and processing billions of transactions each month. Analysts say this IPO could set an important benchmark for the country’s fast-growing fintech sector.
